Terms of Service

1. Introduction

Welcome to Docket (“Platform”), a technology marketplace operated by Calix Technologies Ltd (“Calix Technologies”, “we”, “us”, or “our”), a company registered under the laws of the Federal Republic of Nigeria. These Terms of Service (“Terms”) govern your access to and use of the Docket platform, including our website, mobile applications, and all related services.

By creating an account or using Docket, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Platform Nature and UPL Disclaimer

Docket is a technology platform that connects users seeking legal services (“Clients”) with independent legal practitioners (“Counsel”). Docket does not provide legal advice, representation, or legal services of any kind.

Counsel listed on Docket are independent professionals and are not employees, agents, or representatives of Calix Technologies. Connecting with Counsel through Docket does not create an attorney-client relationship between the Client and Calix Technologies. Any attorney-client relationship that arises is solely between the Client and the Counsel they engage.

The information provided on the Platform does not constitute legal advice and should not be relied upon as such. Users should consult directly with their engaged Counsel for legal advice specific to their situation.

3. User Accounts

3.1 Registration

You must provide accurate, current, and complete information during registration and maintain the accuracy of such information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

3.2 Account Types

Docket offers three types of accounts: Client accounts for those seeking legal services, Counsel accounts for verified legal practitioners, and Administrator accounts for platform operations. Each account type has different privileges and responsibilities as described in these Terms.

3.3 Counsel Verification

Counsel must provide valid Nigerian Bar Association credentials and undergo our verification process. Verification tiers (Basic, Enhanced, Premium) reflect the level of credential verification completed, not an endorsement of quality or competence. Calix Technologies reserves the right to suspend or revoke any Counsel's account if verification information is found to be inaccurate or fraudulent.

4. Service Fees and Payments

4.1 Technology Service Fee

Docket charges a Technology Service Fee (“TSF”) of 15% on top of the Counsel's quoted fee for each engagement. This fee is for the use of the technology platform, including escrow services, secure messaging, and platform infrastructure. The TSF is not a referral fee and does not contravene the Rules of Professional Conduct for Legal Practitioners in Nigeria.

4.2 Escrow

Client payments are held in escrow through our payment processor, Paystack, until the engagement is completed to the Client's reasonable satisfaction or in accordance with the dispute resolution process. Escrow funds are held for the benefit of the parties and are not commingled with Calix Technologies' operating funds.

4.3 Release of Funds

Funds are released to Counsel upon: (a) Client confirmation of satisfactory completion; (b) automatic release 7 days after final milestone completion if the Client does not raise a dispute; or (c) in accordance with the outcome of a dispute resolution.

4.4 Refunds

Refunds are processed through the dispute resolution mechanism. Calix Technologies does not guarantee refunds. Any refund decision is made based on the specific circumstances and in accordance with the dispute resolution process outlined in Section 7.

5. Client Obligations

As a Client, you agree to:

  • Provide accurate and complete information about your legal matter
  • Communicate promptly and in good faith with your engaged Counsel
  • Make payment as agreed upon acceptance of a Counsel's quote
  • Not solicit Counsel to work outside the Platform to circumvent fees
  • Raise any concerns through the Platform's dispute resolution mechanism before seeking external remedies

6. Counsel Obligations

As a Counsel, you agree to:

  • Maintain valid NBA membership and practising certificate at all times
  • Comply with the Rules of Professional Conduct for Legal Practitioners in Nigeria
  • Provide services with reasonable skill, care, and diligence
  • Respond to Client communications within 48 hours during business days
  • Not quote fees significantly outside the range listed in your profile
  • Not solicit Clients to transact outside the Platform to circumvent fees
  • Report any conflict of interest before accepting an engagement

7. Dispute Resolution

Docket provides a structured 5-step dispute resolution process for disagreements between Clients and Counsel:

  1. Cooldown period (48 hours) — Parties are encouraged to resolve the matter directly before escalation.
  2. Direct resolution — Parties communicate through the Platform to reach a resolution with platform-facilitated templates.
  3. Mediation — A Docket administrator facilitates communication and proposes a resolution.
  4. Administrative decision — If mediation fails, a Docket administrator reviews all evidence and makes a binding decision regarding escrow funds.
  5. Appeal — Either party may appeal the administrative decision within 7 days.

Administrative decisions regarding escrow fund allocation are final after the appeal period expires. Nothing in this section limits either party's right to pursue remedies in the courts of Nigeria.

8. Intellectual Property

Calix Technologies owns all intellectual property rights in the Platform, including but not limited to the Docket name, logo, design, code, and documentation. Users retain ownership of the content they submit to the Platform and grant Calix Technologies a non-exclusive licence to use such content for the purpose of operating the Platform.

9. Limitation of Liability

To the maximum extent permitted by Nigerian law, Calix Technologies shall not be liable for: (a) the quality, legality, or outcome of any legal services provided by Counsel; (b) any indirect, incidental, special, or consequential damages; (c) any loss arising from the actions or omissions of Counsel; (d) any damages exceeding the TSF paid by the Client for the relevant engagement.

10. Data Protection

We process personal data in accordance with the Nigeria Data Protection Act 2023 (NDPA) and our Privacy Policy. By using the Platform, you consent to our collection and processing of your personal data as described in the Privacy Policy.

11. Termination

Either party may terminate this agreement at any time by closing their account. Calix Technologies may suspend or terminate any account that violates these Terms, engages in fraudulent activity, or poses a risk to other users. Upon termination, any pending engagements will be handled in accordance with the dispute resolution process.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms that cannot be resolved through the Platform's dispute resolution mechanism shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

13. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email and by posting a notice on the Platform. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
